De onderstaande voorwaarden (“Gebruiksvoorwaarden”) zijn van toepassing op uw toegang tot en het gebruik van deze “Website”, www.astellas.com/be geëxploiteerd door Astellas Pharma BV (in deze Gebruiksvoorwaarden “Astellas“, “wij” of “ons” genoemd). Deze Gebruiksvoorwaarden moeten samen worden gelezen met en zijn van toepassing bovenop ons privacybeleid (“Privacybeleid”). Lees zorgvuldig deze Gebruiksvoorwaarden en ons Privacybeleid. Bewaar ze en/of druk een exemplaar af om ze later te kunnen raadplegen.

Door de Website te gebruiken, bevestigt u dat u deze Gebruiksvoorwaarden en het Privacybeleid volledig hebt gelezen, begrepen en ermee instemt. 2. Europese en internationale bezoekers

2.1   Deze Website is enkel bestemd voor inwoners van de Europese Unie; door deze Website te gebruiken, bevestigt u dat u een inwoner van de Europese Unie bent en minstens 18 jaar oud bent.

2.2   Astellas wijst uitdrukkelijk elke aansprakelijkheid af voor bezoekers van buiten de Europese Unie voor zover dat maximaal is toegestaan op grond van het toepasselijke recht.

3. Uw gebruik van de Website

3.1   U stemt ermee in om:

• de Website niet te gebruiken voor onwettige, ongepaste of illegale doeleinden;
• de Website niet te gebruiken op een manier die een inbreuk inhoudt op de rechten van anderen of die het gebruik en genot van de Website door anderen hindert;
• software, toepassingen, updates of hardware die via de Website beschikbaar zijn, niet te demonteren, na te bouwen of op een andere manier te decompileren; of
• de Website niet te gebruiken op een andere manier die verboden is door deze Gebruiksvoorwaarden.

3.2   Mits uw naleving van deze Gebruiksvoorwaarden kent Astellas u een niet-exclusieve, niet-overdraagbare en beperkte licentie toe om de inhoud van de Website te openen, te bekijken, te downloaden, af te drukken en te gebruiken, op voorwaarde dat:

• u een kennisgeving van Astellas in verband met auteursrechten, handelsmerken of andere gedeponeerde rechten niet verbergt of verwijdert uit de inhoud van de Website en u ervoor zorgt dat een dergelijke kennisgeving wordt vermeld op alle door u gemaakte kopieën van de inhoud van de Website;
• u de inhoud van de Website uitsluitend gebruikt voor uw eigen interne bedrijfsdoeleinden en/of persoonlijk gebruik;
• u de inhoud van de Website op geen enkele manier wijzigt; en
• u alle illustraties van de Website en andere visuele inhoud gebruikt in combinatie met de begeleidende tekst;

3.5   Overeenkomstig deze Gebruiksvoorwaarden bent u verantwoordelijk tegenover ons voor eventuele uitgaven, verliezen of andere kosten, met inbegrip van maar niet beperkt tot redelijke juridische en boekhoudkundige kosten, die voortvloeien uit of verband houden met uw inbreuk op deze Gebruiksvoorwaarden.

4. Auteursrechten en andere Intellectuele EigendomsRechten (IER)

4.1   Alle teksten, afbeeldingen, toepassingen, software, code, handelsmerken, dienstmerken of andere inhoud die in of op deze Website wordt getoond, en alle auteursrechten, handelsmerken, logo’s en andere Intellectuele EigendomsRechten op of in verband met de Website en de inhoud ervan (samen de “IER” genoemd), zijn eigendom van of in licentie gegeven aan Astellas.

4.2   Indien IER in of op de Website bij u berusten, van rechtswege of anderszins bepaald, kent u hierbij aan ons (of aan derden die we zullen aanduiden) alle rechten, eigendomsrechten en belangen (wettelijk of inzake het vruchtgebruik) toe met betrekking tot die IER, in de ruimst mogelijke zin en wereldwijd, met inbegrip van alle verlengingen en uitbreidingen van die IER. U doet onvoorwaardelijk en onherroepelijk afstand van alle morele rechten die u nu of in de toekomst zou hebben op of in verband met de Website.

4.3   U stemt ermee in om alle akten en documenten op te stellen en alle handelingen en daden te verrichten die we redelijkerwijze kunnen vereisen om IER aan ons toe te kennen, het vooropgestelde doel van deze Gebruiksvoorwaarden te realiseren of onze rechten krachtens deze Gebruiksvoorwaarden te vestigen, vervolmaken, behouden of af te dwingen.

5. Door gebruikers gegenereerde inhoud

5.1   Astellas kan van tijd tot tijd functionaliteiten toevoegen aan de website waarmee u inhoud op de Website kunt plaatsen of indienen, zoals een publiek forum of blog. Door inhoud in te dienen, stemt u in met de volgende voorwaarden:

5.2   U stemt ermee in dat u volledig verantwoordelijk bent voor de inhoud die u online plaatst of indient. U stemt ermee in dat u geen inhoud zult indienen die onwettig, schadelijk, bedreigend, beledigend, pesterig, lasterlijk, vulgair, obsceen, discriminerend, ethisch of anderszins illegaal en/of verwerpelijk is.

5.3   U verklaart en garandeert dat: (i) die inhoud origineel van u afkomstig is en dat geen andere partij rechten, eigendomsrechten of belangen heeft in verband met die inhoud; en/of (ii) u de nodige rechten, licenties, toestemmingen en toelatingen heeft om die inhoud op de Website te plaatsen die Astellas dan kan gebruiken overeenkomstig deze Gebruiksvoorwaarden. Bovendien kent u ons een niet-exclusieve, royalty-vrije, wereldwijde en eeuwigdurende licentie toe om de door u ingediende inhoud te gebruiken op een manier die Astellas gepast acht en om anderen toe te staan dat ook te doen. U stemt er ook mee in om onherroepelijk en onvoorwaardelijk afstand te doen van alle morele rechten die u zou hebben met betrekking tot de inhoud die u op de Website plaatst.

5.4   Hierbij kent u aan elke gebruiker van de Website ook een niet-exclusieve, royalty-vrije licentie toe om uw inhoud op de Website te bekijken en gebruiken overeenkomstig deze Gebruiksvoorwaarden.

5.5   U erkent en stemt ermee in dat Astellas niet verantwoordelijk is voor inhoud die online wordt geplaatst of ingediend door derden.

5.6   Astellas behoudt zich het recht voor (maar is niet verplicht) om, naar eigen goeddunken, inhoud die op de Website wordt geplaatst of ingediend op gelijk welk moment en om gelijk welke reden te screenen, herzien, bewerken, wijzigen, weigeren of verwijderen.

5.7   Astellas is niet verplicht om inhoud te weerhouden en zal niet aansprakelijk zijn voor de verwijdering, vernietiging of het verlies daarvan. Astellas kan echter inhoud weerhouden die het nodig acht om zijn wettelijke verplichtingen na te komen, om geschillen te beslechten en de Gebruiksvoorwaarden af te dwingen.

6. Garantiedisclaimer en beperking van aansprakelijkheid

6.1   Wij sluiten alle uitdrukkelijke of impliciete verklaringen, garanties en voorwaarden uit met betrekking tot de Website, krachtens de wetgeving, het gemeenrecht of anders bepaald, voor zover dat maximaal is toegestaan op grond van de wet.

6.2   Tenzij en voor zover dat wettelijk vereist is, sluiten wij (samen met onze dochterondernemingen, kaderleden, bestuurders, werknemers, agenten, vertegenwoordigers en dienstverleners) uitdrukkelijk uit en aanvaarden wij geen aansprakelijkheid tegenover u voor: (i) winstderving; (ii) verlies van besparingen; (iii) verlies van activiteiten; (iv) verlies van goodwill; (v) verlies van gegevens; of (vi) om het even welke bijzondere, indirecte, incidentele, gevolg-, punitieve of exemplaire schade die voortvloeit uit of verband houdt met deze Gebruiksvoorwaarden of uw gebruik van de Website (ongeacht of de vordering wordt ingediend op grond van contractbreuk, nalatigheid of een andere onrechtmatige daad, krachtens de wetgeving of anders bepaald).

6.3   Wij stellen de inhoud van de Website te goeder trouw tot uw beschikking, maar garanderen niet dat de inhoud juist, volledig of up-to-date is, of dat de Website geen inbreuk pleegt op de rechten van derden. Wij aanvaarden geen verantwoordelijkheid of aansprakelijkheid voor uw gebruik van de Website; dergelijk gebruik is volledig op eigen risico. Hoewel wij alle redelijke voorzorgsmaatregelen nemen om computervirussen en/of andere schadelijke programma’s op de Website te voorkomen, kunnen wij hiervoor niet aansprakelijk worden gesteld.

6.5   Onze totale aansprakelijkheid voor schade of verlies die u zou leiden als gevolg van uw gebruik van de Website en/of het downloaden van inhoud van de Website, die niet onder de bovenvermelde beperkingen en uitsluitingen vallen (of indien de wet de bovenvermelde beperkingen en uitsluitingen niet toestaat), is beperkt tot 50€.

6.6   Niets uit deze Gebruiksvoorwaarden zal enige beperking of uitsluiting inhouden in verband met: (i) de aansprakelijkheid van een partij voor lichamelijk letsel of overlijden als gevolg van de nalatigheid van die partij of voor fraude; (ii) uw rechten overeenkomstig het consumentenrecht; of (iii) elke andere aansprakelijkheid die niet mag worden uitgesloten of beperkt krachtens de wet.

7. Links naar websites van derden

7.1   Deze Website kan links naar websites van derden bevatten die wij relevant voor u achten. Astellas controleert de inhoud van dergelijke websites van derden niet en keurt dergelijke inhoud niet goed; uw gebruik van dergelijke websites is volledig op eigen risico.

7.2   Bijgevolg wijst Astellas elke verantwoordelijkheid of aansprakelijkheid af met betrekking tot de beschikbaarheid of inhoud van dergelijke websites van derden, alsook elke aansprakelijkheid voor schade die u zou leiden als gevolg van uw bezoek aan en/of gebruik van dergelijke websites.

8. Andere belangrijke voorwaarden

8.1   Naar eigen goeddunken kan Astellas op gelijk welk moment de Website of bepaalde functies en functionaliteiten van de Website onmiddellijk stopzetten.

8.2   Indien een bevoegde rechtbank één van deze Gebruiksvoorwaarden onwettelijk, ongeldig of niet-afdwingbaar zou achten, zullen de overige Gebruiksvoorwaarden volledig van kracht blijven.

8.3   Het niet uitoefenen of niet afdwingen van een recht of bepaling uit deze Gebruiksvoorwaarden door Astellas zal geen afstand van een dergelijk recht of dergelijke bepaling inhouden.

8.4   Tenzij dat uitdrukkelijk in deze Gebruiksvoorwaarden wordt vermeld, zal niets uit deze Gebruiksvoorwaarden een recht, rechtsmiddel of voordeel toekennen aan anderen behalve u en Astellas.

8.5   Deze Gebruiksvoorwaarden vormen de volledige overeenkomst tussen u en ons. Ze vervangen alle voorgaande voorwaarden, waarborgen en/of verklaringen, voor zover dat maximaal is toegestaan op grond van de wet.

8.6   Astellas kan uw toegang tot de Website opschorten wegens een inbreuk op deze Gebruiksvoorwaarden. Bovendien kan elke partij op gelijk welk moment een overeenkomst krachtens deze Gebruiksvoorwaarden opzeggen, door middel van een schriftelijke kennisgeving aan de andere partij.

8.7   Deze voorwaarden en elk geschil of elke vordering voortvloeiend uit of betreffende deze voorwaarden of de materie daarvan (met inbegrip van niet-contractuele geschillen of vorderingen) vallen onder en worden geïnterpreteerd volgens de wetten van België en Luxemburg. Als u een geding zou aanspannen in verband met deze Gebruiksvoorwaarden of uw gebruik van de Website, stemt u ermee in om dat te doen bij de rechtbanken van België en Luxemburg.

5. User-generated content

5.1   From time to time, Astellas may include functionality on the website which permits you to post or submit content to the Website, for example by way of a public forum or a blog.  By submitting content, you agree to the following terms:

5.2   You agree that you are fully responsible for the content that you post or submit.  You agree that you will not submit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, racially, ethically or otherwise illegal and/or objectionable in any way.

5.3   You represent and warrant that such content is: (i) original to you and that no other party has any right, title or interest therein; and/or (ii) you have the necessary rights, licences, consents and permissions to post such content to the Website for use by Astellas in accordance with these Terms of Use.  In addition, you grant to us a non-exclusive, royalty-free, worldwide, perpetual license to use the content submitted by you in any manner that Astellas considers appropriate and to authorise others to do so.  You further agree to irrevocably and unconditionally waive all moral rights which you may have in respect of any content posted by you on the Website.

5.4   You also hereby grant each user of the Website a non-exclusive, royalty free licence to access your content through the Website for the purposes of accessing such content and using it in accordance with these Terms of Use.

5.5   You acknowledge and agree that Astellas is not responsible for content posted or submitted by for posting by third parties.

5.6   Astellas, in its sole discretion, reserves the right (but has no obligation) to pre-screen, review, edit, modify, reject or remove content submitted to or posted to the Website at any time for any reason.

5.7   Astellas has no obligation to retain any content and will not be liable for the deletion, destruction or loss thereof.  Astellas however may retain content as it deems necessary to comply with its legal obligations, to resolve disputes and to enforce these Terms of Use.

6. Warranty Disclaimer and Limitation of Liability

6.1   We expressly exclude all representations, warranties, conditions and terms express or implied by statute, common law or otherwise with respect to the Website to the fullest extent permitted by law.

6.2   Except where and to the extent required by law, we (together with our affiliates, officers, directors, employees, agents, representatives and service providers) expressly exclude and accept no liability to you for: (i) any loss of profit; (ii) loss of savings; (iii) loss of business; (iv) loss of goodwill; (v) loss of data; or (vi) any special, indirect, incidental, consequential, punitive or exemplary loss howsoever caused arising out of or in connection with these Terms of Use or your use of the Website (whether the claim is brought for breach of contract, in negligence  or any other tort, under statute or otherwise).

8. Other important terms

8.1   Astellas may discontinue the Website or terminate certain features and functionalities of the Website immediately at any time in its sole discretion.

8.2   If any of these Terms of Use are found to be illegal, invalid or unenforceable by any court of competent jurisdiction, the rest of these Terms of Use shall remain in full force and effect.

8.3   Any failure by Astellas to exercise or enforce any right or provision in these Terms of Use will not constitute a waiver of such right or provision.

8.4   Except as expressly stated in these Terms of Use nothing in these Terms of Use is intended to confer any rights, remedies or benefits upon any person other than you and Astellas.

8.5   These Terms of Use set out the entire agreement between you and us and supersede any and all prior terms, conditions, warranties and/or representations to the fullest extent permitted by law.

8.6   Astellas may suspend your access to the Website for violation of these Terms of Use.  In addition, either party may terminate an agreement under these Terms of Use at any time on written notice to the other.

8.7   These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed and construed by the laws of Belgium and Luxemburg.  If you take any legal action relating to your use of the Website or these Terms of Use, you agree to do so in the courts of Belgium and Luxemburg.
